International Company (IC)

The International Company (IC) is the vehicle used for offshore entities, often referred to as Offshore Companies, or IBC (International Business Companies). Vanuatu International Companies are governed by the International Companies Act No 32 of 1992 and administered by the Vanuatu Financial Services Commission (VFSC). 

Key characteristics of an International Company (IC):

  • There is no minimum capital and it can be expressed in any currency.
  • Shares can be in registered or bearer form, can be with or without par value, can have full, partial, conditional or no voting rights, and can be convertible, common, preferential or redeemable.
  • Minimum of one shareholder (can be a nominee) is required which may be an individual or a body corporate.
  • Requires one director. Corporate directors are permitted. The names of Directors do not appear on the public file.
  • A secretary is not required but is permitted and the secretary does not have to be located in Vanuatu.
  • Must maintain records somewhere, but nothing is filed or available for inspection.
  • No annual return, only annual fees.
  • It is not necessary to have an annual meeting, however, directors can hold meetings anywhere by any means.
  • International Companies are exempt from all forms of tax for a minimum of 20 years.
  • An International Company may not conduct business in Vanuatu, own an interest in real estate in Vanuatu except the lease of premises from where it conducts its international business, offer shares to the public, hold a banking, trust or insurance licence, or solicit the public to deposit with or lend money to the company.
  • Must have a registered office and a registered agent in Vanuatu.
  • The company's constitution, registered office and registered agent is the only information available on public file.

  • Company name availablity, confirmation and reservation.
  • The preparation and submission of your constitution
  • The payment of the incorporation fees.
  • The payment of the first years registration fees.
  • We will sign the constitution as Incorporator.
  • We will provide a local registered office address and a local registered agent (both of which are statutory requirements)
  • We will prepare the minutes of the First Meeting of the Board of Directors, which will allot shares to your shareholders, appoint the Directors and (if required) appoint a secretary.

An International Company can normally be established within one day. All you have to provide is the following 

  • the company's name,
  • how you want limited to be shown in the name eg Limited, Ltd Incorporated, Inc, Corporation, Corp.
  • the purpose of the company (which can be general),
  • whether it is limited by shares or guarantee.
  • the directors and shareholders, to be include in First Minutes of the Company, (NB does not go on public file)

  • Opening bank accounts here in Vanuatu.
  • Auditing and provision of financial statements, if they are required by the company.

The following documents will be couriered to you:

  • The original Certificate of Incorporation.
  • A bound copy of the constitution.
  • The minutes of the First Meeting of the Board of Directors.
  • Share Certificates.
